End-User License Agreement (EULA)

1. Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you and Perpetio OÜ ("Licensor", "we", "us", or "our") for the use of Picsnap software application ("Application").

By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Application.

2. License Grant

Subject to the terms of this Agreement, Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application solely for your personal or internal business purposes strictly in accordance with this Agreement.

This license is conditional upon your compliance with all terms and conditions of this Agreement.

3. License Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Application
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of Licensor or its affiliates, partners, suppliers or the licensors of the Application
• Use the Application for any illegal purpose or in violation of any applicable laws or regulations
• Use the Application to create a competing product or service

4. Intellectual Property

The Application, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of Licensor.

This Agreement does not grant you any rights to use Licensor's trademarks, service marks, or logos. You may not remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Application.

5. User Content and Feedback

You retain all rights to any content you create, upload, or share using the Application ("User Content"). By using the Application, you grant Licensor a license to process and store your User Content as necessary to provide the Application's services.

Any feedback, suggestions, or ideas you provide to Licensor regarding the Application ("Feedback") becomes the sole and exclusive property of Licensor. Licensor may use Feedback for any purpose without compensation to you.

6. Updates and Modifications

Licensor reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Licensor may from time to time provide updates to the Application. These updates may be automatically downloaded and installed. Such updates are subject to this Agreement unless other terms accompany the updates, in which case those terms apply.

You acknowledge that Licensor is not obligated to provide any updates, maintenance, or support for the Application.

7. Term and Termination

This Agreement shall remain in effect until terminated by you or Licensor. Licensor may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from Licensor, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your device.

Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your device. Termination will not limit any of Licensor's rights or remedies at law or in equity.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE APPLICATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICE.

Without limitation to the foregoing, Licensor provides no warranty or undertaking, and makes no representation of any kind that the Application will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE APPLICATION OR ANY MATERIALS OR CONTENT ON THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LICENSOR HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF LICENSOR TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE APPLICATION OR OTHERWISE UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO LICENSOR FOR ACCESS TO AND USE OF THE APPLICATION IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Consumer Rights

If you are a consumer, you have rights under applicable consumer protection laws that cannot be waived or limited by this Agreement. Nothing in this Agreement shall affect these statutory consumer rights.

Where this Agreement conflicts with your statutory consumer rights under applicable law, your statutory consumer rights shall prevail to the extent of the conflict.

11. Severability and Waiver

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with this Agreement shall be resolved through:

• For consumers: The courts of your country of residence, subject to applicable consumer protection laws and regulations
• For non-consumers: The courts with jurisdiction over Licensor's registered office in Estonia

Before initiating court proceedings, consumers may use alternative dispute resolution (ADR) methods available under applicable consumer protection laws.

13. Amendments to this Agreement

Licensor reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Application after any revisions become effective, you agree to be bound by the revised terms.
